The Austrian GmbH or GesmbH is very common in Austria. The company combines a limited liability with assessable administrative costs as well an assessable social structure.

The articles of association respectively the declaration of the incorporation by one shareholder is required to be notarially certified. The shareholder’s agreement has to contain at least the following information: company’s name, registered address, business purpose, size of share capital and the value of the capital invested by each shareholder.

At least one managing director has to be appointed. The application for the commercial register (Firmenbuch) has to be signed by all managing directors. Just with the entry in the commercial register the corporation is actually formed.
